1. Acceptance of Terms
By accessing or using WholesaleOS ("the Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.
You must be at least 18 years old to use WholesaleOS. If you are using the Service on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these terms.
2. Description of Service
WholesaleOS is a multi-tenant B2B wholesale SaaS platform. We provide tools for brands to run their wholesale operations, including:
- Branded buyer portals with custom subdomains
- Product catalog management with variants, categories, and collections
- Order management and fulfillment tracking
- Automated invoicing and PDF generation
- Net terms invoicing facilitation
- Shipping rate calculation and zone management
- Tax calculation and exemption handling
- Buyer management with customer groups and tiered pricing
- Quote/RFQ system and pre-order support
3. Account Registration & Responsibilities
Tenant (Brand) Accounts
When you create a tenant account, you become the admin of that wholesale portal. You are responsible for all activity that occurs under your account and for the data you store on the platform.
Buyer Accounts
Buyers register through your portal and are subject to your approval. Once approved, buyers can browse your catalog and place orders according to the permissions and pricing you configure.
Your Responsibilities
- You are responsible for keeping your login credentials secure
- You must provide accurate and up-to-date information
- One person or legal entity per account — no shared accounts
- You must notify us immediately if you suspect unauthorized access
4. Subscription & Billing
Plan
WholesaleOS is available at $149 USD/month. There are no platform fees, no transaction fees, and no hidden charges.
Free Trial
All accounts include a 14-day free trial. No payment is required to start. After the trial ends, you must subscribe or your portal will become read-only. No data is deleted during the read-only period.
Invoicing & Merchant of Record
Our order process is conducted by our online reseller, Lemon Squeezy (Lemon Squeezy, LLC). Lemon Squeezy is the Merchant of Record for all our subscription orders. Lemon Squeezy manages all payment processing, issues the subscription invoices, and handles billing inquiries. By subscribing to WholesaleOS, you agree to Lemon Squeezy's terms and conditions.
Price Changes
We may change subscription prices with 30 days written notice via email. Price changes take effect at the start of your next billing cycle.
5. Merchant of Record
Lemon Squeezy acts as the Merchant of Record for all WholesaleOS subscription transactions. This means:
- Lemon Squeezy is the entity that processes your payment and appears on your bank or credit card statement
- Lemon Squeezy handles the collection and remittance of applicable sales tax, VAT, and GST based on your location
- Subscription invoices and payment receipts are issued by Lemon Squeezy
- Refund requests for subscription payments are processed through Lemon Squeezy (see our Refund Policy)
WholesaleOS does not directly collect, store, or process your payment card information. All payment data is handled securely by Lemon Squeezy in accordance with PCI DSS standards.
Taxes
All subscription payments, including applicable taxes such as GST, VAT, or sales tax, are calculated, collected, and remitted entirely by our Merchant of Record, Lemon Squeezy. Lemon Squeezy will issue valid, legally compliant tax invoices for your subscription at the time of purchase.
6. Wholesale Payments
WholesaleOS facilitates net terms invoicing between tenants and their buyers. We generate invoices and track payment status on behalf of tenants.
WholesaleOS does not process, hold, or transfer wholesale funds. All payments between tenants and their buyers occur outside the WholesaleOS platform (e.g., via bank transfer). We are not a payment processor, payment gateway, or financial intermediary for wholesale transactions.
- Tenants are responsible for setting their own payment terms, issuing bank details to buyers, and reconciling payments received
- Payment disputes between tenants and their buyers are the sole responsibility of the parties involved
- WholesaleOS is not liable for late payments, non-payments, or any payment-related disputes between tenants and buyers
7. Tenant Responsibilities
As a tenant (brand) on WholesaleOS, you are responsible for:
- The products you sell, the prices you set, and the orders you fulfill
- Complying with all applicable laws in your jurisdiction, including tax collection, consumer protection, and export regulations
- Your buyer data and compliance with applicable privacy laws (see our Privacy Policy)
- Responding to buyer inquiries, complaints, and refund requests
- Collecting and remitting taxes as required under applicable law
Prohibited Products
You may not use WholesaleOS to sell:
- Weapons, ammunition, or explosives
- Controlled substances or illegal drugs
- Counterfeit or stolen goods
- Products that infringe on intellectual property rights
- Any product prohibited by applicable law
8. Data Ownership & Portability
You own your data. This includes your products, customers, orders, invoices, and all content you upload to the platform.
- WholesaleOS provides data export functionality so you can download your data at any time
- Upon account termination, you have 30 days to export all your data
- After the 30-day export window, your data is permanently deleted from our systems
- We do not sell, license, or share your data with third parties for their own purposes
9. Intellectual Property
- WholesaleOS owns the platform, its code, design, brand, documentation, and all related intellectual property
- You own your content — product images, descriptions, branding, and business data
- You grant WholesaleOS a limited license to display your content as necessary to provide the Service (e.g., rendering your portal, generating PDFs)
- Neither party may use the other's trademarks without written permission
10. Prohibited Uses
You may not:
- Use the Service for any illegal activity
- Resell, sublicense, or white-label the WholesaleOS platform itself
- Scrape, crawl, or reverse-engineer any part of the Service
- Access the platform through unauthorized API calls or automated means
- Distribute malware, spam, or harmful content through the platform
- Interfere with or disrupt the Service or other tenants' portals
- Use the platform to violate the rights of others
- Attempt to gain unauthorized access to other accounts or systems
11. Limitation of Liability
To the maximum extent permitted by applicable law, the Service is provided "as is" and "as available" without warranties of any kind, either express or implied.
To the maximum extent permitted by law, WholesaleOS is not liable for:
- Lost revenue, lost profits, or business interruption
- Loss of data (beyond our obligation to maintain backups)
- Third-party service failures (shipping carriers, hosting providers, email services)
- Disputes between tenants and their buyers
- Late payments or non-payments between tenants and buyers
- Indirect, incidental, special, or consequential damages
Our maximum aggregate liability for any claim arising from or related to the Service is limited to the total fees you paid to WholesaleOS in the 12 months preceding the claim.
Nothing in these Terms is intended to exclude or limit any rights you may have under applicable consumer protection laws that cannot be excluded by agreement.
12. Service Availability
- We target 99.9% uptime but do not guarantee a formal SLA at this time. Enterprise customers may negotiate a separate SLA.
- Scheduled maintenance will be announced with at least 24 hours notice via email and our status page
- We may temporarily suspend your account for Terms of Service violations with reasonable notice
- We are not liable for downtime caused by force majeure events (natural disasters, war, government actions, pandemic, internet outages, or third-party infrastructure failures)
13. Termination
By You
You can cancel your subscription at any time from your dashboard. Cancellation takes effect at the end of the current billing period. Your portal remains accessible until then.
By Us
- We may terminate your account with 30 days notice for violations of these Terms
- We may terminate immediately for serious violations (illegal activity, fraud, security breaches, or actions that harm other users)
- We may terminate your account if your subscription remains unpaid for 60 days (see Section 4)
After Termination
- Your portal goes offline immediately
- You have 30 days to export your data
- After 30 days, all data is permanently deleted
14. Changes to Terms
We may update these Terms of Service from time to time. For material changes, we will provide at least 30 days notice via email to the address on your account.
Continued use of the Service after the notice period constitutes acceptance of the updated terms. If you do not agree, you may cancel your account before the changes take effect.
15. Governing Law & Disputes
These Terms are governed by the laws of India, specifically the State of Tamil Nadu. Any disputes arising from these Terms or the Service shall first be resolved through good-faith negotiation, and finally through the exclusive jurisdiction of the courts located in Tamil Nadu, India.
